This Settlement Agreement (“Agreement”) is made and entered into this 17 day of July, 2015 by and between TEAC Corporation and TEAC America, Inc. (“TEAC”), and the direct-purchaser plaintiff class representatives (“Plaintiffs”), both individually and on behalf of a settlement class of direct purchasers of Optical Disk Drives (“ODDs”) (“the Class”) as more particularly defined in Paragraph 1 below.
