This SHARE PURCHASE AGREEMENT (the “Agreement”) is made as of February 26, 2021, by and among Ventyx Biosciences, Inc., a Delaware corporation (the “Purchaser”), Oppilan Pharma Ltd., a private company limited by shares, incorporated and registered in England and Wales with company number 09610773 whose registered office is at St. John’s Innovation Centre, Cowley Road, Cambridge CB4 0WS, United Kingdom (the “Company”), the Shareholders (as defined below) and listed on the signature pages hereto under “Shareholders”, and the Noteholders (as defined below) and listed on the signature pages hereto under “Noteholders” (the Shareholders and the Noteholders shall be collectively referred to as the “Securityholders” and each, a “Securityholder”).
