THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into effective as of this 26th day of June, 2018 (the “Effective Date”), by and among Geokinetics Inc., a Delaware corporation (“GeoK”) and certain of its subsidiaries, debtors and debtors-in-possession, on the one hand (each, a “Seller” and collectively, “Sellers”), and SAExploration, Inc., a Delaware corporation, or its affiliated designee (“Buyer”), on the other.
