Agreement made this day of 20 , by and between VENDOR, having offices at VENDOR ADDRESS, (hereinafter referred to as "Vendor") and the Board of Trustees of the University of Illinois, on behalf of the Consortium of Academic and Research Libraries in Illinois (CARLI), having a principal place of business at University Office for Planning and Budgeting, 616 E. Green St., Suite 213, Champaign, Illinois 61820 (hereinafter referred to as "Licensee"; collectively with Vendor, referred to as the "Parties") provides for use by Licensee of the Licensed Materials , as defined below, subject to the terms and conditions set forth in this “Agreement.”
