This Memorandum of Understanding ("MOU") is effective as of March , 2023 (the "Effective Date"), by and between the Town of Wake Forest, North Carolina, a North Carolina municipal corporation ("Town"), and Triangle Real Estate Company, a North Carolina corporation ("Developer") (Town and Developer are referred to herein collectively as the "Parties” and individually as a "Party"), in response to the “Solicitation for Development Partner Proposals” issued by the Town and the University of North Carolina School of Government's Development Finance Initiative (“DFI”) on February 21, 2022 (the “Proposal”), for the redevelopment of the following real property located in the Town: (i) 351 S.
