AGREEMENT ("Agreement"), made and entered into this day of July, 2010 (the "Effective Date"), by and between BEACON Power Corporation ("BEACON"); a corporation organized and existing under the laws of the State of Massachusetts, and Niagara Mohawk Power Corporation d/b/a "National Grid" (the "COMPANY"), a corporation organized and existing under the laws of the State of New York. BEACON or COMPANY shall be referred to either individually as a "Party" or collectively as the "Parties".
