These General Terms and Conditions for Purchase (these “Terms and Conditions”), which shall apply to each Purchase Order which references these Terms and Conditions and shall be deemed to be incorporated by reference therein, are entered into as of the Effective Date, by and between Rivian Automotive, LLC, a Delaware limited liability company (collectively with its Affiliates, “Purchaser”), and the party to whom the applicable Purchase Order is addressed (“Seller”). Purchaser and Seller are each referred to herein as a “Party” and collectively as the “Parties”.
