This confirmation agreement (“Confirmation”) confirms the Transaction between Party 1 (“Seller”) and City of San José (“Purchaser”), each individually a “Party” and together the “Parties,” dated as of ___________, 2018 (“Effective Date”) regarding the purchase and sale of the Product pursuant to the terms and conditions contained herein. The Master Agreement, WSPP Service Schedule R and this Confirmation shall be collectively referred to herein as the “Agreement” and supersede and replace any prior oral or written confirmation regarding the Transaction (as defined below). Terms capitalized but not defined herein shall have the meaning as set forth in the Master Agreement, WSPP Service Schedule R or the CAISO Tariff.
