THIS AGREEMENT is made by and between BellSouth Telecommunications, Inc., (BellSouth), a Georgia corporation, and Esodus Communications, Inc. (Esodus Communications, Inc. d/b/a Instatone in Alabama, Georgia, Kentucky, Mississippi and South Carolina and Esodus Communications, Inc. d/b/a Exelink Communications d/b/a Instatone in Florida) (Esodus), a Florida corporation, and shall be effective on the Effective Date, as defined herein. This Agreement may refer to either BellSouth or Esodus or both as a “Party” or “Parties.”
