THIS FEE-IN-LIEU OF TAX AGREEMENT is dated as of [ ], 2022, by and between BERKELEY COUNTY, SOUTH CAROLINA, a body politic and corporate and a political subdivision of the State of South Carolina (the “County”) and COOPER RIVER PARTNERS, LLC DBA BUSHY PARK, a South Carolina limited liability company previously identified as Project Longleaf, acting for itself, one or more affiliates, and/or other project sponsors (collectively, the “Company”).
