This Subscription Agreement (this “Agreement”) is made and entered into by and between Lime Energy Co., a Delaware corporation (the “Company”), and the undersigned purchaser (the “Purchaser”) of the Units (defined below) effective as of November 13, 2008, the date on which Purchaser’s subscription for the Units shall be deemed accepted by the Company if the Company accepts the subscription pursuant to Section 1(a).
