In the event an agreement (“Underlying Agreement”) entered into by and between (i) either Sunovion Pharmaceuticals Inc. or its subsidiary, Sunovion Pharmaceuticals Europe Ltd. (“Sunovion”) and (ii) the service provider, vendor, or consultant identified in the Underlying Agreement (for the purpose of this Addendum, “Service Provider”) requires Service Provider to collect, store, use, disclose, or otherwise process any Personal Information (defined below) under Data Protection Laws (defined below), the terms and conditions stated in this addendum (“Addendum”) shall apply and are incorporated by reference into the Underlying Agreement. To the extent the terms in this Addendum conflict with those in the Underlying Agreement, these terms will control.
