This ESCROW AGREEMENT, dated as of 1, 2020 (the “Escrow Agreement”), between the CITY OF DESERT HOT SPRINGS, a municipal corporation duly organized and existing under its charter and the laws of the State of California (the “City”) and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association duly organized and existing under the laws of the United States as trustee (the “Trustee”) with respect to the California Communities Transportation Revenue (Installment Sale) Certificates of Participation, Series 2012A (T.R.I.P. – Total Road Improvement Program) described below and acting in its capacity as escrow agent hereunder (the “Escrow Agent”), as acknowledged and accepted by the CALIFORNIA STATEWIDE COMMUNITIES DEVELOPMENT AUTHORITY, a joint exercise of powers authority duly organized and existing under and by virtue of the laws of the State of California (the “Authority”);
