This XO SELECT ACCESS™ MEMBERSHIP AGREEMENT (this “SA Program Agreement”) is entered into by and between the person or entity executing this SA Program Agreement below (“SA Member”) and XO Global LLC, a Delaware limited liability company (“XO”). This SA Program Agreement is subject to the Select Access SA Program Terms and Conditions (the “T&Cs”) incorporated in full by this reference, as amended from time to time in accordance with this SA Program Agreement (collectively, the “SA Program Terms”). The SA Program Terms set forth the terms and conditions of membership in the XO Select Access™ Membership Program (the “SA Membership Program”). SA Member and XO are sometimes referred to herein individually as a “Party” and collectively, as the “Parties”. A capitalized term used but not defined in the context of its use in this SA Program Agreement or in the T&Cs shall have the meaning ascribed thereto in the “SA Membership Program Glossary” included in the T&Cs.
