This Consulting Agreement, dated as of February 20, 2018 (together with all schedules, exhibits and attachments hereto, collectively, this “Agreement”), is made by and between Southeastern Grocers, LLC, a Delaware limited liability company, on behalf of itself and its direct and indirect subsidiaries (collectively, the “Company”), on the one hand, and a contractual joint venture comprised of Hilco Merchant Resources, LLC and Gordon Brothers Retail Partners, LLC (the “Consultant” and, together with Company, the “Parties” and each, a “Party”), on the other hand.
