THIS STANDBY EQUITY PURCHASE AGREEMENT (this “Agreement”) dated as of June 16, 2026 is made by and between YA II PN, LTD., a Cayman Islands exempt limited company (the “Investor”), and GLOBAVEND HOLDINGS LIMITED, an exempted company incorporated in the Cayman Islands with limited liability (the “Company”).
