This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of April 30, 2006 (the “Effective Date”), between Magellan Hill Technologies, LLC (“MHT”), a Limited Liability Company organized under the laws of the State of New Jersey, with offices at 125 Gaither Drive, Suite E, Mt. Laurel, NJ 08054 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and MHT may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
