This Affiliate Services Agreement (this “Agreement”) is entered into as of the 17th day of May, 2015, by and between Liberty Utilities Service Corp., a Delaware corporation (the “Provider Company”), which company is engaged, in part, in the rendering of services to companies in the Algonquin Power & Utilities Corp. (“APUC”) holding company system, and Liberty Utilities (Midstates Natural Gas) Corp. (the “Receiving Company”). The parties to this Agreement are otherwise collectively referred to as the “parties” or individually referred to as a “party”.
