This subscription agreement (the “Subscription Agreement”) and the confidential investor questionnaire (described below) must be completed in accordance with the instructions set forth below and must be executed in order to determine whether you as a subscriber (the “Subscriber”) are an accredited investor and, if accredited, so that you may subscribe to purchase one or more of the eight (8) units priced at $100,000 per unit (the “Units”) for the making of a $800,000 loan (the “Loan”) to Hidden Village Mesa Ltd., a Delaware corporation (the “Company”) that will then be used to acquire a Preferred Member Class A-1 Capital Contribution (the “PE”) in the limited liability company of Hidden Village AZMB, LLC (AZ) (the “Owner”) in order for the Owner to acquire Hidden Village Apartments located 1006 West Main St. Mesa, AZ (the “Property”). The closing is anticipated on or before June 10, 2019 (the “Closing”). The Company is an affiliate of Chesterfield Faring Ltd (“CFL”).
