This Memorandum of Understanding (this “MOU”) is entered into as of [ ], 2011 (the “Effective Date”), by and among PacifiCorp, an Oregon corporation (“PacifiCorp”), Idaho Power Company, an Idaho corporation (“Idaho Power”), and the Bonneville Power Administration, a United States government power marketing agency (“BPA”). PacifiCorp, Idaho Power and BPA are sometimes referred to in this MOU individually as a “Party” and, collectively, as the “Parties”.
