Coach, Inc., a Maryland corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”), acting severally and not jointly, the respective principal amounts set forth in such Schedule A of the Company’s 3.000% Senior Notes due 2022 (the “2022 Notes”) and 4.125% Senior Notes due 2027 (the “2027 Notes” and, together with the 2022 Notes, the “Notes”). Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities LLC have agreed to act as representatives of the several Underwriters (in such capacity, the “Representatives”) in connection with the offering and sale of the Notes.
