This Amended and Restated Investor Rights Agreement (the “Agreement”) is entered into as of [February __], 2005, by and among Grouper Networks, Inc., a Delaware corporation (the “Company”), the purchasers (the “Series A Investors”) of the Company’s Series A Preferred Stock (the “Series A Stock”) pursuant to that certain Series A Preferred Stock Purchase Agreement dated as of March 18, 2004 and amended as of June 30, 2004 (as so amended, the “Series A Purchase Agreement”), and the purchasers (the “Series B Investors”) of the Company’s Series B Preferred Stock (the “Series B Stock”) pursuant to that certain Series B Preferred Stock Purchase Agreement of even date herewith (the “Series B Purchase Agreement”). The Series A Investors and the Series B Investors are collectively referred to herein as the “Investors” and are listed on Exhibit A hereto.
