This MERGER AGREEMENT (as amended from time to time, this “Agreement”), dated as of September 28, 2018, is entered into by and among Dixie Brands, Inc., a Delaware corporation (the “Company”), Academy Explorations Limited, a corporation incorporated under the laws of Ontario (“Parent”), and Dixie Brands Acquisition, Inc., a Delaware corporation and Wholly Owned Subsidiary of Parent (“Merger Sub” and, together with the Company and Parent, the “Parties” and each, a “Party”).
