THIS COMPLETION GUARANTY (“Guaranty”), is made as of , by MFO Holding Company, LLC (“Guarantor”) to and for the benefit of the San Diego Unified Port District, a public corporation (“Port District”), the Chula Vista Bayfront Facilities Financing Authority, a joint exercise of powers authority (“Authority”), the City of Chula Vista, a chartered municipal corporation (the “City,” and, together with the Port District and the Authority, the “Public Entities”), and JPMorgan Chase Bank, National Association, a banking association organized and existing under the laws of the United States, as Administrative Agent under and as defined in the Bond Purchase Agreement (as defined below) (in such capacity, the “Administrative Agent”).
