WHEREAS, Buyer is the owner, operator and franchisor of the retail bakery-cafe and specialty bread business doing business under the concept names "Panera Bread" and "Saint Louis Bread Company"; and WHEREAS, Supplier is a manufacturer of bakery products and has agreed, upon and subject to the terms and conditions of this Agreement, to manufacture and supply Product for Buyer's System.
