THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of the 21st day of August, 2023 (the “Signing Date”), by and between SENECA, SIGEL MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at 6541 Cameron Avenue, Vesper, Wisconsin 54489 (“SSMIC”), and NEW HOPE MUTUAL INSURANCE COMPANY, a Wisconsin town mutual insurance corporation with its place of business at N11311 Cty Hwy P, Iola, Wisconsin 54945 (“NHMIC”, together with SSMIC are collectively referred to herein as the “Constituent Corporations” and each a “Constituent Corporation”).
