This Agreement shall be binding on and inure to the benefit of the Parties and all West Moore Solar Affiliates, their respective successors and assigns. Neither Party may assign its rights and duties hereunder, in whole or in part, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned or delayed; provided, that West Moore Solar may assign this Agreement and all of its rights hereunder to any Affiliate. In addition, this Agreement and all rights hereunder may be assigned for the benefit of any Financing Party including, but not limited to, an assignment to such Parties upon a foreclosure. Any assignme nt in violation of this Section X shall not affect any rebates with respect to which West Moore Solar or any West Moore Solar Affiliate is already entitled.
