This MASTER SETTLEMENT AND MUTUAL RELEASE AGREEMENT (this “Agreement”), dated as of April 16, 2004, is entered into among Petrobras Energía S.A., an Argentine sociedad anónima (“PESA”) formerly known as Compañía Naviera Perez Companc S.A.C.F.I.M.F.A. (“Perez Companc”), Petrobras Hispano Argentina S.A., a Spanish sociedad anónima (“Petrobras Hispano”), Enron Argentina CIESA Holding S.A., an Argentine sociedad anónima (“EACH”), Enron Pipeline Company Argentina S.A., an Argentine sociedad anónima (“EPCA”), and Ponderosa Assets, L.P., a Delaware limited partnership and indirect subsidiary of Enron (“Ponderosa”). For purposes hereof, “Parties” shall mean PESA, Petrobras Hispano, EPCA, EACH and Ponderosa collectively, and “Party” shall mean each of such Parties individually.
