This Amended and Restated Asset Purchase Agreement (this “Agreement”) is made and entered into as of November , 2017, by and among Peekay Boutiques, Inc., a Nevada corporation (the “Seller”) and each of the subsidiaries of Seller listed on Schedule 1 (together with Seller, the “Selling Entities” and each a “Selling Entity”), and TLA Acquisition Corp., a Delaware corporation (the “Buyer”). Each of the Selling Entities and Buyer are referred to herein as a “Party” and together as the “Parties.” Unless otherwise defined herein, capitalized terms used herein are defined in Section 1.1 of this Agreement.
