This Subscription Agreement pertains to the offering (the “Offering”) by Nova Lifestyle, Inc. (the “Company”) of up to Two Million Five Hundred Thousand (2,500,000) units (the “Units”), each such Unit consisting of one (1) share (the “Shares”) of the Company’s common stock, par value $0.001 per share (the “Common Stock”), and a warrant (the “Warrants”) to purchase fifteen percent (15%) of one (1) share of Common Stock at an exercise price of Four Dollars and Fifty Cents ($4.50) per share of Common Stock, at a purchase price of Four Dollars ($4.00) per Unit for an aggregate Offering of a minimum of Two Million Dollars ($2,000,000) (the “Minimum Offering”) up to a maximum of Ten Million Dollars ($10,000,000) (the “Maximum Offering”) as described in the Private Placement Offering Memorandum for the Units dated November 29, 2011, as the same hereto may be amended (the “Offering Memorandum”).
