Nextel Communications, Inc., a Delaware corporation (the “Selling Shareholder”), proposes to sell or cause a subsidiary to sell to Bear, Stearns & Co. Inc. (the “Underwriter”) 5,000,000 shares beneficially owned by the Selling Shareholder (the “Firm Shares”) of the common stock, par value $0.001 per share (the “Common Stock”), of NII Holdings, Inc. (the “Company”). The Selling Shareholder also proposes to sell or cause a subsidiary to sell to the Underwriter, at the option of the Underwriter, an additional 750,000 shares of Common Stock (the “Option Shares” and together with the Firm Shares, the “Shares”).
