This PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of April 21, 2015 (the “Closing Date”), is entered into by and among Bechard, LLC, a Connecticut limited liability company, Propartners in Parking, LLC, a Connecticut limited liability company, and Cloud 9, LLC, a Connecticut limited liability company (collectively, “Seller”), Parking Acquisition Ventures, LLC, a Delaware limited liability company (“PAVe Member,” and together with Seller, the “PAVe Entities”), OP Holdings JV Member LLC, a Delaware limited liability company (“OP Holdings Member”), and OP Holdings JV LLC, a Delaware limited liability company (the “Company”).
