This Settlement Agreement (the “Agreement”) is entered into as of the latest date it is signed by the undersigned parties (the “Effective Date”), by and among (a) Heart Pond Development, LLC and Patrick Larkin (together “Larkin”); (b) the Town of Chelmsford (the “Town”), Jose Negron, in his capacity as Building Commissioner for the Town of Chelmsford (the “Building Commissioner”), and Brian Reidy, Peter Casserly, Steven Mendez, and Charles Wojtas, in their capacities as members of the Town of Chelmsford Zoning Board of Appeals (the “ZBA”) (together with the Town and the Building Commissioner, the “Chelmsford Parties”); and (c) Pamela Rivard, individually and as Trustee of the Pamela B. Rivard Investment Trust and the Norman T. Rivard Investment Trust (together, “Rivard”). Each of the foregoing parties shall hereinafter be referred to individually as a “Party” and collectively as the “Parties.”
