This AMENDED AND RESTATED U.S. PLEDGE AGREEMENT, dated as of March 22, 2012 (as amended, supplemented, amended and restated or otherwise modified from time to time, this “Agreement”), is made by MONSTER WORLDWIDE, INC., a Delaware corporation (the “Company”) and each other Loan Party from time to time party to this Agreement (each individually, a “Pledgor” and, collectively, the “Pledgors”) (terms used in the preamble and the recitals have the definitions set forth in or incorporated by reference in Article I), in favor of BANK OF AMERICA, N.A., in its capacity as the administrative agent (together with its successor(s) thereto in such capacity, the “Administrative Agent”) for each of the Secured Parties. This Agreement amends and restates in its entirety the U.S. Pledge Agreement, dated as of August 31, 2009 (the “Original Agreement”), by and among the Pledgors party thereto and the Administrative Agent, as amended, supplemented, amended and restated or otherwise modified from time to
