This MEMORANDUM OF AGREEMENT (“Agreement”) is made and entered into as of , 2020, between the City of Carson, a California charter city (“City”), and Plenitude Holdings, LLC, a Wyoming limited liability company (“Plenitude” or the “Developer”) regarding the design, construction and operation of The Creek at Dominguez Hills Project. The Developer and the City shall also sometimes be referred to herein as the “Parties”. The County of Los Angeles (“County”) hereby acknowledges and approves this Agreement as a third party beneficiary of the terms and conditions herein.
