The Securities will be issued pursuant to an Indenture, dated as of January 13, 2023 (the “Base Indenture”), among the Company, the guarantors listed in Schedule 2 hereto (the “Guarantors”) and Citibank, N.A., as trustee (the “Trustee”), as amended and supplemented, including by the Second Supplemental Indenture, dated as of January 26, 2023 (the “Second Supplemental Indenture”), between CF Bermuda Holdings Limited, a Bermuda exempted company, and the Trustee, and by the Fourth Supplemental Indenture, to be dated as of June 4, 2024 (together with the Base Indenture and the Second Supplemental Indenture, the “Indenture”), among the Company, the Guarantors and the Trustee, and will be guaranteed on an unsecured senior basis by each of the Guarantors (the “Guarantees”).
