This STOCKHOLDER’S AGREEMENT (this “Agreement”), dated as of April 18, 2022 is entered into by and among (i) Excelerate Energy, Inc., a Delaware corporation (the “Company”), (ii) Excelerate Energy Limited Partnership, a Delaware limited partnership (the “Partnership”), and (iii) Excelerate Energy Holdings, LLC, a Delaware limited liability company (together with its Permitted Transferees (as defined below) who are assignees pursuant to Section 4.9 hereof, the “Kaiser Investor”). Capitalized terms used herein without definition shall have the meanings set forth in Section 1.1.
