Independence Realty Trust, Inc., a Maryland corporation (the “Company”), proposes to issue and sell to Deutsche Bank Securities Inc. (the “Underwriter”) 6,000,000 shares (the “Firm Shares”) of its common stock, par value $0.01 per share (the “Common Stock”).
