The undersigned understands that TGC Industries, Inc., a Texas corporation (the “Company”), has filed with the Securities and Exchange Commission a registration statement on Form SB-2 (the “Registration Statement”) relating to an underwritten public offering (the “Offering”) of common stock, $0.01 par value (the “Common Stock”), of the Company. To induce Oppenheimer & Co. Inc. (“Oppenheimer”) to enter into an underwriting agreement (the “Underwriting Agreement”) with the Company the undersigned hereby agrees that during the period commencing on the date hereof and ending on the 120th day following the effective date of the Registration Statement (the “Restricted Period”) the undersigned will not, without the prior written consent of Oppenheimer: (i) offer, sell, contract to sell, pledge, or otherwise dispose of, directly or indirectly, or file a registration statement under the Securities Act of 1933, as amended (the “Securities Act”), relating to, any shares of the Common Stock or sec
