Barclays Capital Inc., on behalf of itself and as representative (the “Representative”) of Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wedbush Morgan Securities (collectively, with the Representative, the “Underwriters”), hereby offers to enter into this Note Purchase Agreement (this “Note Purchase Agreement”) with the City of San Diego (the “City”), a municipal corporation organized and existing under its Charter and the Constitution and laws of the State of California (the “State”), which upon written acceptance of this offer will be binding upon the City and the Underwriters. This offer is made subject to the City’s written acceptance hereof on or before 5:00 p.m., California time, on the date hereof, and, if not so accepted, will be subject to withdrawal by the Underwriters upon notice delivered to the City at any time prior to the acceptance hereof by the City.
