This Interconnection and Resale Agreement ("Agreement"), entered into April 1, 2004, is entered into by between Habla Communicaciones, Inc. a Delaware corporation (“CLEC”), and Central Telephone Company of Texas, Inc. d/b/a Sprint and United Telephone Company of Texas, Inc. d/b/a Sprint (collectively “Sprint”), Texas corporations (CLEC and Sprint are collectively referred to herein as "the Parties"), to establish the rates, terms and conditions for local interconnection, local resale and the purchase of unbundled network elements for the state of Texas.

(Sprint and CLEC may be referred to individually as a "Party" and collectively as the "Parties").
