THIS CERTIFIES THAT, for value received, Rxmm Health Pty Ltd. or its registered assigns, is entitled to purchase from Players Network, Inc. a Nevada corporation (the “Company”), at any time or from time to time during the period specified in Paragraph 2 hereof, Fifty Million (50,000,000) Common Shares to be vested as outlined in the Definitive Funding Agreement dated August 15th, 2016, between Players Network and Rxmm Health. After each tranche is vested the warrant become fully paid and exercisable for the purchase of non-assessable shares of the Company’s Common Stock, par value $0.001 per share (the “Common Stock”), and the warrants will be deemed earned and available to exercise at a price as outlined in Exhibit A Strike Price and Warrant Schedule (the “Exercise Price”). The term “Warrant Shares,” as used herein, refers to the shares of Common Stock purchasable hereunder.
