This is to confirm our agreement (the “Agreement”) that effective as of the date hereof MacKenzie Partners, Inc. (“MacKenzie Partners”) has been engaged by MoneyOnMobile, Inc. (the “Client”) for Information Agent services in connection with its proposed subscription rights offering (the “Assignment”).
