Introductory. The stockholders of Certara, Inc., a Delaware corporation (the “Company”), named in Schedule B hereto (collectively, the “Selling Stockholders”) severally propose to sell to the several underwriters named in Schedule A hereto (the “Underwriters”) an aggregate of [ l ] shares of the Company’s common stock, par value $0.01 per share (the “Shares”). The [ l ] Shares to be sold by the Selling Stockholders are collectively called the “Firm Shares.” In addition, the Selling Stockholders have severally granted to the Underwriters an option to purchase up to an additional [ l ] Shares, with each Selling Stockholder selling up to the amount set forth opposite such Selling Stockholder’s name in Schedule B hereto, all as provided in Section 2.
