This Settlement Agreement (“Agreement”) is made by and among the following parties: (1) the Representative Plaintiff, by and through Class Counsel on behalf of the Class in this Action; and (2) Credit Suisse First Boston, LLC (“CSFB”)1 and Mark Wolfenberger (“Wolfenberger”), by and through their respective attorneys in this Action. This Agreement is intended by the settling parties to fully, finally and forever resolve, discharge, and settle the “Settled Claims” (as defined in Paragraph V(A)(15)), upon and subject to the terms and conditions hereof.
