DEVELOPMENT AGREEMENT (this “Agreement”) is made and entered into as of this day of , 2021 (the “Effective Date”), among JVM VILLAGE WEST APARTMENTS, LLC, a Delaware limited liability company (the “Assignor”), AVANTI RESIDENTIAL VILLAGE WEST TIC I, LLC, a Delaware limited liability company, AVANTI RESIDENTIAL-VILLAGE WEST TIC II, LLC, a Delaware limited liability company and AVANTI RESIDENTIAL-VILLAGE WEST TIC III, LLC, a Delaware limited liability company (collectively, jointly and severally as tenants in common, the “Assignee”), whose notice address is 1700 Broadway, Suite 620, Denver, Colorado 80290, and the UNIFIED GOVERNMENT OF WYANDOTTE COUNTY/KANSAS CITY, KANSAS, a municipal corporation organized and existing under the laws of the State of Kansas (the “UG”). Capitalized terms not defined herein have the meaning set forth in the Lease Agreement (as defined below).
