THIS AMENDED AND RESTATED AGREEMENT is made and entered into this day of December, 2018 by and between Tri-State Generation and Transmission Association, Inc., a Colorado Cooperative Corporation (“Tri-State”) and the City of Fort Lupton, Utility Enterprise, formed pursuant to Chapter 12 of the City of Fort Lupton Municipal Code (“City Enterprise”), collectively referred to as the “Parties” and individually as a “Party.”
