THIS UTILITY ASSET PURCHASE AGREEMENT (“Agreement”) is made and entered into as of the 15th day of November, 2023 (the “Effective Date”), by and between Prairie Path Water Company, an Illinois corporation with an address of 500 West Monroe St., Suite 3600, Chicago, IL 60661 (the “Buyer”), and Port Barrington Shores Umbrella Association, an Illinois corporation, with an address of 27749 Kazimour Dr., Barrington, IL 60010 (the “Seller”).
