RECITALS WHEREAS, Sponsor, a research-driven pharmaceutical company, is sponsoring and conducting a clinical trial of BI 655130 (“Investigational Product”) according to the Clinical Trial Protocol for BI Trial No. 1368-0024 including all documents attached thereto and referenced therein (“Protocol”) entitled “An open-label, single arm, long term trial of Spesolimab treatment in patients with Palmoplantar Pustulosis (PPP) who have completed previous BI Spesolimab trials“ as amended (“Trial”), incorporated herein by reference and provided to Institution and/or Investigator by the Sponsor under separate cover in the regulatory document package; and WHEREAS, Sponsor has engaged a Contract Research Organisation (“CRO”), to act as an independent contractor, but not as a party to this Agreement, to carry out on behalf of Sponsor certain of Sponsor’s responsibilities with respect to the Trial, which may include, but are not limited to, contract negotiation and management, site payment, site mo
