WHEREAS, the Vendor and the Minority Holder own all of the issued and outstanding shares (collectively, the “Shares”) in the capital of American Pacific Honduras SA de CV (the “Corporation”) and the Corporation and Minority Holder own all of the issued and outstanding shares of each of the Subsidiaries (as defined herein) (collectively, the “Sub Shares”) incorporated in the jurisdiction set forth opposite of their respective name as listed in Schedule 1, attached hereto;
